Undertook the incorporation of more than 600 Nova Scotia unlimited liability companies, a significant tax planning vehicle which has acquired wide acceptance among US companies holding Canadian investments. Acted for several large corporations in the planning, negotiation and successful conclusion of intellectual property transactions including: - technology licensing arrangements
- software and technology systems, and their implementation and upgrade
- technology and other functional outsourcing arrangements
- professional training and personnel development programs
- broad-based professional consulting agreements
- long-term supply and transportation agreements
Served as counsel to the underwriters on the privatization of Nova Scotia Power Inc., at its time the largest initial public offering in Canadian history. Acted on behalf of a number of corporations in migrating industrial and commercial properties to New Brunswick's new electronic based land titles system. We have acted in recent cases dealing with allegations of unfairness in the tendering processes of both provincial and federal governments and crown corporations as well as private sector owners.
Represented the private sector developers and contractors of Nova Scotia's Highway 104 Western Alignment Project, eastern Canada's first private highway infrastructure project. |

The scope of the corporate/commercial practice area is difficult to define as it (a) means different things to different people and (b) necessarily incorporates practice areas which, in some firms, form separate departments or areas of specialization, i.e., corporate finance, asset/equipment finance and leasing, international trade, etc. For purposes of the Directory, Corporate/Commercial Law refers to a broad-based company law, commercial transaction and banking/corporate finance practice generally on behalf of major public and private companies.
